Terms of Service

These Terms of Service ("Terms") govern your access to and use of BehavedChart, a service of Keller LLC, a Florida limited liability company ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1 The Service

BehavedChart is a web-based behavior tracking application designed for use by educators, teachers, and school staff. The Service allows users to create rosters, log student behavioral observations, manage classes and grades, invite co-teachers, and generate behavior reports.

BehavedChart is intended for use in educational and school settings. It is a behavior logging and reporting tool only — it is not a clinical assessment tool, official disciplinary record system, or legally binding documentation platform. See our Disclaimer for more information.

2 Accounts & Eligibility

Who May Use the Service

You must be at least 18 years old to create an account. By registering, you represent that you are an adult and are authorized to use the Service in connection with the school, district, or educational program you represent.

BehavedChart accounts are intended for educators and school staff only. Students should not create accounts. Guest loggers access the Service via a join code without creating an account — these Terms still apply to their use of the Service.

Account Responsibility

You are responsible for maintaining the security of your account and for all activity that occurs under it. BehavedChart uses magic-link email sign-in — no password is stored. You should use a secure, private email address for your account and not share sign-in links.

You agree to notify us immediately at behavedchart+legal [at] behavedchart [dot] com if you believe your account has been compromised.

One Account Per User

Each individual user should maintain one account. You may not create multiple accounts to circumvent tier limits or other restrictions.

3 Acceptable Use

You agree to use BehavedChart only for its intended purpose — logging and tracking student behavioral observations in an educational setting. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Input false, misleading, or fabricated student records
• Use the Service to harass, bully, or discriminate against any student or individual
• Share your account credentials or sign-in links with unauthorized individuals
• Attempt to gain unauthorized access to other users' rosters or data
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use automated scripts, bots, or crawlers to access the Service
• Resell or sublicense access to the Service without our written permission
• Upload malicious code, viruses, or any content intended to disrupt the Service

4 Your Data & Content

You Own Your Data

All roster data, student names, behavior logs, and other content you input into BehavedChart ("Your Content") remains yours. We do not claim ownership of Your Content.

License to Operate the Service

By using the Service, you grant Keller LLC a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide and operate the Service. We do not use Your Content for any other purpose.

Your Responsibility for Content

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent that you have the authority to input the student and behavioral data you enter into the Service, including any required consent or authorization under applicable school, district, or legal policies.

Data Export & Deletion

You may delete your roster data and close your account at any time. Upon deletion, your data is removed from our active systems. See our Privacy Policy for details on retention and deletion.

5 Subscription Tiers & Billing

Free Tier

BehavedChart offers a Free tier with limited features at no cost. Free tier users may use the Service indefinitely within the applicable limits. No credit card is required for the Free tier.

Paid Tiers (Plus & Pro)

Paid subscription tiers (Plus and Pro) provide expanded limits and additional features. Paid tiers are billed on a recurring basis. Pricing is displayed on our pricing page at the time of purchase.

By subscribing to a paid tier, you authorize us to charge your payment method on a recurring basis until you cancel. Billing is handled by Stripe. We do not store your full payment card details.

Tier Limits

Each tier includes defined limits on the number of rosters, students, behaviors, members, and other features. These limits are enforced within the Service. Upgrading your tier expands your limits; downgrading reduces them. We are not responsible for data loss that may result from a voluntary downgrade below your current usage.

6 Refunds & Cancellation

Cancellation

You may cancel your paid subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid tier features through the end of the period you have paid for.

Refunds

All subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us at behavedchart+legal [at] behavedchart [dot] com within 30 days of the charge and we will review your request.

Free Trial (if applicable)

If we offer a free trial period, you will not be charged during the trial. We will notify you before any trial converts to a paid subscription.

7 Intellectual Property

BehavedChart, including its name, logo, design, code, and all content we create, is owned by Keller LLC and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

The BehavedChart name and logo are trademarks of Keller LLC. Nothing in these Terms grants you any right to use our trademarks.

Your Content remains yours. We claim no intellectual property rights over data you input into the Service.

8 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any data loss resulting from service outages, technical failures, or user error.

BehavedChart is a behavior logging tool for educators. It is not a substitute for professional judgment, clinical assessment, or official school disciplinary processes. Logged behavioral data should not be used as the sole basis for formal disciplinary action, special education determinations, or legal proceedings. See our Disclaimer for full details.

9 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KELLER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10 Indemnification

You agree to defend, indemnify, and hold harmless Keller LLC and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your Content, including any student data you input
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party

11 Termination

Termination by You

You may stop using the Service and close your account at any time. Deleting your account will remove your roster data from our active systems.

Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, misused the Service, or posed a risk to other users or to the integrity of the platform.

If we terminate your account without cause, we will provide a pro-rated refund of any prepaid subscription fees for the unused portion of your billing period.

Effect of Termination

Upon termination, your right to access the Service ends immediately. Provisions of these Terms that by their nature should survive termination — including Sections 7, 8, 9, 10, and 12 — will remain in effect.

12 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be addressed by contacting us at behavedchart+legal [at] behavedchart [dot] com to attempt informal resolution. If we cannot resolve the dispute informally within 30 days, either party may pursue resolution through the courts of competent jurisdiction in Florida.

You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class action proceeding.

13 Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. If changes are material, we will provide additional notice such as an email to your account address or a notification within the Service.

Your continued use of the Service after updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Service and close your account.
